Acquisitions are often made without the true understanding of what it will cost, or demand of current resources, to integrate. Integration costs could be technical, cultural, customer or sales driven. Far too often, acquisitions are made for reasons of today and years later still functioning as a separate entity.
If the acquisition still has customers, a product and a growth strategy it likely stands a better chance of success operating as a seperate entity with its own vision. For the acquirer, it lets them focus on current strategy without the operating or capital distraction of forcing an integration.
By spinning out a past acquisition into a standalone company, corporations create a new opportunity to monetize an asset and potentially save millions of internally spent dollars.
